Terms of Service
Agreement
These terms are a contract between you and Vinayak Clouds Inc. ("we"), 20, Ganesh Villa, Ganeshpura Road, Sidhpur, Patan - 384151, Gujarat, India, which operates KaratRelay. By creating an account or continuing to use the service you agree to them. If you use KaratRelay for a business, you confirm you are authorised to bind it.
The service
KaratRelay is an online workflow tool for jewelry businesses to track orders through production stages, share work with workshops, store files and manage clients and payments.
Accounts
Keep your sign-in details confidential and your information accurate. You are responsible for activity under your account. Organization owners are responsible for who they invite and the data stored in their workspace.
Acceptable use
You must not use the service unlawfully; send fraud or spam; infringe intellectual property; upload malware; probe, scan or scrape the service; attempt to access other organizations' data; reverse engineer, resell or circumvent plan limits.
Intellectual property
Vinayak Clouds Inc. owns the service, software, documentation and KaratRelay branding. We grant you a limited, non-exclusive, non-transferable right to use the service within your plan. You keep ownership of your content and grant us a limited licence to host and process it only to provide the service.
Payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund terms are set out in Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms). Trials last 14 days. Paid plans renew each period until cancelled; cancellation takes effect at the end of the current period. See our Refund Policy.
Service level
We work to keep KaratRelay available and accurate but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, the service is provided without implied warranties of merchantability or fitness for a particular purpose.
Suspension and termination
We may suspend or end access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. Lapsed workspaces become read-only and data can still be exported; data is not deleted just because a subscription ends.
Liability
To the extent permitted by law, we are not liable for indirect or consequential losses (including lost profits, data or goodwill), and our total liability is limited to the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury where the law does not allow it.
Governing law
These terms are governed by the laws of India; courts in Gujarat, India have jurisdiction.
